Terms and Conditions

This Terms and Conditions Agreement (“Agreement”) governs your use of the Brandzl™ website and all services provided by Brandzl™, a division of Prime Pillars Management Corp.
By accessing this website or engaging our services, you agree to these Terms.
1. Who We Are
Brandzl™ is a division of Prime Pillars Management Corp., a Canadian registered corporation.
All services under the Brandzl™ brand are legally provided and contracted through Prime Pillars Management Corp.

2. Scope of Services
Brandzl™ provides AI-powered growth systems and automation services, including:
• Branding and Logo Design
• Rebrand and E-Commerce
• CRM and Automation Setup
• AI Integration and Chatbots
• WiFi and Lead Generation Systems
• Social Media and Paid Ads
Specific scope, timelines, and pricing are defined in your Engagement Letter or Proposal.
Brandzl™ does not provide legal, tax, accounting, or regulated financial advice.
3. Engagement and acceptance
No binding agreement exists until both parties execute a written Proposal or Engagement Letter.
Use of deliverables, approvals, or project commencement constitutes acceptance of scope.
4. Electronic Signatures
This Agreement and any Engagement Letter may be executed electronically.
Electronic signatures are valid and binding under applicable Canadian electronic commerce legislation and, where applicable, the U.S. ESIGN Act and UETA.
5. Fees and Payment
All pricing is confirmed in your Proposal or Engagement Letter and is in Canadian dollars unless otherwise stated.
• Invoices are due within fourteen (14) days.
• Deposits are non-refundable once work has begun.
• Overdue balances accrue interest at 2% per month (24% annually) or the maximum rate permitted under applicable law, whichever is lower.
• Fees exclude applicable taxes including GST, HST, or other required sales taxes.
Brandzl™ may suspend work for unpaid invoices beyond thirty (30) days.
6. Third-party platforms
Brandzl™ works with third-party platforms such as CRM systems, ad platforms, AI tools, and e-commerce providers.
We are not responsible for:
• Platform outages or downtime
• Algorithm changes
• Account suspensions
• Policy updates
• Performance fluctuations
Results are not guaranteed.
7. intellectual property
Upon full payment, final deliverables created specifically for the Client transfer to the Client for intended commercial use.
Brandzl™ retains ownership of:
• Proprietary frameworks
• Automation templates
• System architectures
• AI methodologies
• Pre-existing tools and systems
8. confidentiality
Both parties agree to protect Confidential Information and not disclose it except as required by law.
Obligations survive termination for three (3) years.
9. Disclaimer
Services are provided on a professional best-efforts basis.
Brandzl™ does not guarantee revenue, leads, ad performance, automation results, or business outcomes.
10. Limitation of liability
To the maximum extent permitted by law, Brandzl™’s total liability shall not exceed fees paid in the three (3) months preceding the claim.
Brandzl™ is not liable for indirect, consequential, incidental, or punitive damages.
Nothing excludes liability for fraud, gross negligence, or willful misconduct.
11. privacy and data protection
Brandzl™ processes personal information in accordance with Canadian privacy laws including PIPEDA and applicable provincial legislation.
Where services involve international clients, we process data in accordance with applicable international privacy laws including GDPR and CCPA where applicable.
We do not sell personal information.
12. SMS Communications
By providing a mobile number, you consent to receive SMS communications related to consultations, scheduling, project updates, and system notifications.
Message frequency varies. Standard carrier rates may apply. Reply STOP to opt out.
For U.S.-based recipients, SMS communications comply with the U.S. Telephone Consumer Protection Act (TCPA).
13. Termination
Project engagements conclude upon delivery and acceptance.
Retainer engagements may be terminated with thirty (30) days written notice.
Upon termination, the Client remains responsible for work completed.
14. dispute resolution
The parties agree to attempt good faith negotiation for thirty (30) days.
If unresolved, disputes proceed to mediation in British Columbia, Canada.
If mediation fails, disputes shall be resolved by binding arbitration in British Columbia, Canada, in accordance with the Arbitration Act (British Columbia).
Arbitration awards are enforceable internationally under the New York Convention.
Either party may seek injunctive or equitable relief where appropriate.
15. Governing law
This Agreement is governed exclusively by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
16. general Provisions
This Agreement and the Engagement Letter constitute the entire agreement.
If any provision is unenforceable, the remainder remains in effect.
The Client may not assign this Agreement without written consent.
